General Conditions of Use

The present General Conditions of Use (of now ahead, "the General Conditions") govern, together with the Policy of privacy, the access and the use, on the part of the User, of the Web Site www.uvinum.com (from now ahead, "the Web Site"). Through the acceptance of the present General Conditions, the User manifests:

1. That the user has read and understands the here exposed;
2. that the user assumes all duties here disposed.

The use of the Web Site attributes the condition of User of the Web Site (of now ahead, "the User”) and it implicates the acceptance of all the included terms in these General Conditions. The User has to read attentively the present General Conditions every time that he/she accesses the Web Site, since this and the mentioned General Conditions can suffer modifications.

The bearer of the Web Site reserves himself the faculty of carrying out, at any time and without the need for previous notice, any modification or update of its contents and services; of the present General Conditions and, in general, of how many elements integrate the design and configuration of the Web Site.

2. 2. Conditions of Use

   1. 2.1. Access to the Web Site

      The access to the Web Site is free, except regarding the cost of the connection through the telecommunication network supplied by the supplier of access hired by the User.

   2. 2.2. Need for registry.

      With general character, for the access to the services and contents of the Web Site, the user registration will not be necessary. However, the utilization of determinate services and contents might be conditioned to the previous registration.

      The personal information introduced by the User will have to be exact, current and truthful at all times. The registered User will be responsible at all times of the custody of its password, consequently assuming any damages and harm that could derive from its use, as well as of the cession, revelation or disorder of the same one. In these effects, the access to restricted areas and/or the use of the services and contents carried out under the password of a registered User who will be responsible in any case for the mentioned access and use.

   3. 2.3. Rules of utilization of the Web Site

      The User will use the Web Site and all its contents and services according to the one established in the law, the morality, the public order and in the present General Conditions. Likewise, the user will make a suitable use of the services and/or contained of the Web Site and to not use them to carry out activities illicit or constitutive of offense, which attempt against the rights of third and/or which infringe the regulation about copyright and industrialist, or any other rules of the applicable juridical ordering.

      The User will not transmit, introduce, spread and/or put at the disposal of third, any type of material and information (contained information, messages, drawings, sound libraries and image, pictures, software, etc) that opposites to the law, the morality, the public order and the present General Conditions. The User does agree to:

      1. I.- Not to introduce or to spread contents or advertising of character racist, xenophobe, pornographic, of apologia of the terrorism or that attempt against the human rights.
      2. II.- Not to introduce or to spread to the net programs of information (virus and harmful software) susceptible of provoking damages in the computer systems of the supplier of access, its suppliers or third Users of the Internet net.
      3. III.- Not to spread, to transmit or to put at the disposal of third any type of information, element or contents that attempt against the fundamental rights and the public freedoms recognized constitutionally and in the international treaties.
      4. IV.- Not to spread, to transmit or to put at the disposal of third any type of information, element or contents that constitute illicit or disloyal advertising.
      5. V.- Not to transmit not requested or authorized advertising, advertising material, "span", "chain mails/emails ", "pyramidal structures", or any other form of solicitation, except in those areas (such like commercial spaces) that they have been exclusively conceived for this.
      6. VI.- Not introducing or spreading any information and false, ambiguous or inaccurate contents so that it induces to error in the receivers of the information.
      7. VII.- Not to supplant other Users using its log-in information to the different services and/or contents of the Web Site.
      8. VIII.- Not to spread, to transmit or to put at the disposal of third any type of information, element or contents that suppose a violation of the rights of copyright and industrialist, patents, brands or copyright that they correspond to the bearer of the Web Site or to third.
      9. IX.- Not to spread, to transmit or to put at the disposal of third any type of information, element or contents that suppose a violation of the secret of the communications and the legislation about protection of datum.
      10. The User will sustain undamaged in VERTICOMM NETWORK in the face of any possible claim, fine, sentence or sanction that can come obligatory to bear as a consequence of the noncompliance on the part of the User of any of the rules of utilization before indicated, reserving in more VERTICOMM NETWORK the law to itself to request the compensation for damages and harm that it corresponds.

   4. 2.4. Exclusion from Responsibility

      VERTICOMM NETWORK does not assume any responsibility about the update of this Web Site to keep the information updated, and does not guarantee that the published information is not precise or complete. Therefore, the User has to confirm that the published information is precise and complete before not taking any decision related with any service or contents described in this Web Site.

      The access of the User to the Web Site does not imply for VERTICOMM NETWORK the duty to control the absence of virus, worms or any other harmful computer element. The availability of tools suitable for the detection and disinfection of harmful computer programs corresponds to the User, in any case.

      VERTICOMM NETWORK will not be held responsible for the damages produced in the software and computer equipment of the Users or of third during the utilization of the services being offered to the Web Site responsible.

      VERTICOMM NETWORK will not be held responsible of errors or disconnections to the telecommunication networks that produce the suspension, cancellation or interruption of the service of the Web Site during the contribution for the one same or with character previous responsible of the damages or harm of any type produced in the User that they bring.

   5. 2.5. Contents and services connected through the Web Site

      The service of access to the Web Site includes technical devices of link, directories and even instruments of research that allow the User to access to other pages and Portals of Internet (of now ahead, "Connected Places"). In these cases, VERTICOMM NETWORK will only responsible for the contents and services supplied in the links so far as it has effective knowledge of the illicitness and it has not deactivated the link with the due diligence. In the supposition that the User considers that there is a link with illicit or inappropriate contents, it will be able to communicate it to VERTICOMM NETWORK without, under no circumstances, this communication entailing the duty to withdraw the corresponding link.

      Under no circumstances the existence of links does not have to presuppose the formalization of agreements with the persons responsible or bearer of the same ones, nor the recommendation, promotion or identification of VERTICOMM NETWORK with the demonstrations, contents or services.

      VERTICOMM NETWORK does not know the contents and services of the links and, therefore, will not held responsible for the produced damages for the illicitness, quality, de-update, unavailability, error and uselessness of the contents and/or services of the links, nor for any other damage than it is directly imputable to VERTICOMM NETWORK.

      In the suppositions in which the User can agree that is redirected to links that allow the contracting of services and/or products, the User knows and accepts that VERTICOMM NETWORK acts as mediating grouper facilitating the mentioned access, for which it will not be responsible, neither indirectly nor subsidiarily, of the damages and harm of any nature derived of the free utilization and/or recruitment of the mentioned services and products of third, as well as of the lack of legality, reliability, utility, veracity, accuracy, exhaustiveness and present of the same ones. VERTICOMM NETWORK will not be held responsible for the damages and harm of any nature derivative for the defective fulfillment or noncompliance of the contractual appointments acquired by a third party; the realization of acts of disloyal competence and illicit advertising; the inadequacy and defraudation of the expectations of the mentioned services and products of third party and of the vices and faults of every class that they can give to themselves in the same ones.

   6. 2.6. Intellectual and industrial rights

      All contents of the Web Site, understanding for these the texts, pictures, graphs, images, icons, technology, software, links and other audiovisual or sound contents, as well as its graphic design and font codes, they are a copyright of VERTICOMM NETWORK or of third party, without any of the rights of exploitation being passed or transferred to the User on the subject of copyright about the same ones.

      The brands, trade names or distinctive signs are owned by VERTICOMM NETWORK or a third party, without any of the rights of exploitation being passed or transferred to the User on the subject of copyright about the same ones.

      Through the acceptance of these General Conditions, the User gives in to VERTICOMM NETWORK, freely and in sole right, all the rights of exploitation about the articles, comments and opinions that the User publishes or the publication of which it authorizes to the Web Site. The mentioned cession will get along carried out for the world-wide territorial area, without limitation one, and for the maximum period of duration foreseen in the Spanish Royal Legislative Decree 1/1996, of 12 April. VERTICOMM NETWORK will be able to exploit the copyrights, transformation, distribution and public communication of the book, in the most wide recognized sense by the mentioned Law.

      The User, who affirms to have all the rights of copyright about the articles, comments and opinions before quoted, is forced to assuming every claim or responsibility, including compensations for damages and harm, that any third can exercise against VERTICOMM NETWORK to consider infringed its rights for any of the derivative actions of the duties that the User acquires directly or indirectly with these General Conditions.

      Likewise, the User will sustain undamaged VERTICOMM NETWORK in the face of any harm that he/she or a third party can suffer as a consequence of the formalization of the cession of rights regulated in this clause.

3. 3. Nullity and inefficiency of the clauses

   If any clause included in the present General Conditions was declared total or partially null or ineffective, such nullity or inefficiency will just affect the mentioned disposal or the part of the same one that is null or ineffective, subsisting the present General Conditions in all the rest and considering itself such disposal in a total way or partially as non included.

4. 4. Applicable legislation and competent jurisdiction

   These General Conditions will be governed and will interpret in accordance with the Laws of Spain. VERTICOMM NETWORK and the User agree on subjecting any controversy that could be aroused by the access and/or utilization of the Web Site, in the Courts and Courts of Barcelona, Spain, with express renunciation to any other jurisdiction that could correspond to them if was different.
